Description of PT Jasamarga Transjawa Tol's business structure in an effort to create continuity

PT Jasamarga Transjawa Tol (JTT) is a Subsidiary of PT Jasa Marga (Persero) Tbk which manages the operation of the Trans Java Toll Road and the Company's equity participation in subsidiaries and associates that own the Trans Java Toll Road concession.

JTT acts as an asset manager who has authority at the level of Sub Holding, Representative Office, and Subsidiaries with the scope of work covering planning, management, monitoring, review, and evaluation.

The total length of the Trans Java Toll Road operated by JTT is +-676 km or 56% of the total length of Toll Roads owned by the Jasa Marga Group.

The scope of the JTT area currently oversees 4 segments and 9 Toll Roads belonging to the Toll Road Subsidiary Company (APJT) that are already operating.

In accordance with the Company’s Articles of Association as stated in the Deed of Amendment to the Company’s Articles of Association Number 12 dated 30 December 2019, the Company’s purpose and objective are to implement its business in the field of Trans Java Toll Road services or industry, which include the construction, operation and maintenance of Toll Roads; Toll Road acquisitions; investment in Toll Road sector as well as other businesses in accordance with the provisions and prevailing rules and regulations.

To achieve the abovementioned purpose and objective, the Company may conduct the following business activities:

1. Conducting business in the field of Toll Road industry, particularly the Trans Java Toll Road;
2. Making investments in the form of securities including equity participation in other companies that are in line with and to achieve the purpose and objective of the Company;
3. Conducting the operation and maintenance of Toll Roads (specifically the Trans Java Toll Roads), including collecting and using toll fees;
4. Using the land in Toll Roads’ right of way (ROW) for other businesses related to Toll Road operation (Trans Java Toll Road only), without prejudice to the provisions of the prevailing rules and regulations and/ or approval of the authorized parties;
5. Conducting other business activities that relate to or support the business activities as referred to in letters a, b, c and d, such as rest area, and Toll Road business management consulting;
6. The scope of Toll Road activities includes the business activities of vehicle traffic services through Toll Roads or toll bridges;
7. The scope of holding activities includes the activities of holding companies, namely those that control the assets of a group of subsidiaries and their main activity is the ownership of the group based on Letter of the President Director of Jasa Marga number AA.HK02257 dated 9 March 2020 regarding Revocation of Power of Attorney Number: 109/ SK/2019, in connection with changes in the Scope of Work of the Regional Transjava Sections, Jasa Marga as the shareholder of JTT then revoked the Scope of Work stated in the Power of Attorney Number 109/SK/2019 dated 1 August 2019 from JTT and made adjustments to the Scope of Work on the Jasamarga Transjawa Toll Road Regional Division;
